32499.6. (a)(3) Two members from the City of El Centro and appointed by the Imperial County Board of Supervisors. These members shall be residents of the City of El Centro, but not a City of El Centro employee, an elected official of the City of El Centro, or an employee or board member of the El Centro Regional Medical Center.

32499.6. (c)(3) The initial board of directors shall recommend a permanent funding source mechanism to be presented to and approved by voters via ballot measure. The funding source mechanism shall be placed on the ballot for the March 2024 or November 2024 election. The initial board of directors, in collaboration with the Imperial County LAFCO, shall use financial feasibility studies conducted by the City of El Centro and the Imperial County LAFCO to determine the funding source mechanism.

32499.6. (c)(4) The initial board of directors shall enter negotiations with the El Centro Regional Medical Center to decide the terms of the acquisition of the hospital. Upon reviewing the financial feasibility studies conducted by the City of El Centro and the Imperial County LAFCO and confirming the financial viability of integrating the El Centro Regional Medical Center into the district, the initial board of directors shall determine the terms of the acquisition of the hospital. The initial board shall finalize the terms of acquiring the hospital by November 5, 2024. The City of El Centro shall negotiate in good faith with the district, but is not required to sell the hospital to the district or agree to the terms that the initial board finalizes.

This bill has already been significantly changed and amended 5 different times. Who knows what this bill will actually say and do when it gets to the governor’s desk?

Pioneers Memorial Healthcare District Concerns

32499.6. (a)(3) With the new district encompassing the entire imperial county, any resident in the county should be eligible for a seat rather than just residents of the city of El Centro.

32499.6. (c)(3) Without establishing a funding mechanism (i.e. a tax) at the same time the new district is created, then the taxpayers of Pioneers Memorial Healthcare District and Heffernan Memorial Healthcare District will be funding the entire county-wide healthcare district.

32499.6. (c)(4) The new district should not be formed until the financial feasibility studies are completed. If the studies show that the If the new district cannot acquire the El Centro Regional Medical Center, or if the city of El Centro decides not to sell its hospital, then there is no benefit to a county-wide healthcare district. In fact, the dissolution of Pioneers Memorial Healthcare District and transfer of its assets to the new healthcare district will jeopardize operations of the only solvent hospital in the valley altogether.

32499.6. (c)(5) Similarly, the Pioneers Memorial Healthcare District and Heffernan Memorial Healthcare District should not be dissolved until the terms of acquisition for El Centro Regional Medical Center are finalized. Moreover, contracts with the new district need to be ratified or re-negotiated prior to the dissolution and transfer of Pioneers Memorial Healthcare District to ensure continuity of services and care.

32499.6. (6) The board of directors shall hold a minimum of three public meetings between the effective date of this chapter and January 1, 2025, as follows:

(A) During the first public meeting, the board of directors shall inform the public of the establishment of the Imperial Valley Healthcare District, the cost savings of having one countywide health care district, and the findings of the financial feasibility studies conducted by the City of El Centro and the Imperial County LAFCO.
(B) During the second public meeting, the board of directors shall inform the public of the recommended permanent funding source mechanism for the Imperial Valley Healthcare District.
(C) During the third public meeting, the board of directors shall inform the public about the acquisition of the El Centro Regional Medical Center.
(D) If the board of directors votes to acquire the El Centro Regional Medical Center, the board of directors shall hold a fourth meeting. During this meeting, the board of directors shall disclose the terms of the acquisition to the public. public and present a financial plan to finance the acquisition and ongoing operations of hospitals in the district.

32499.6. (d) Until both the Heffernan Memorial Healthcare District and Pioneers Memorial Healthcare District are dissolved, the Heffernan Memorial Healthcare District shall hold a temporary administrative role to the board of directors of the Imperial Valley Healthcare District, that includes:

(1) Providing administrative employees.

(2) Providing assistance in scheduling board meetings and public meetings.

(3) Any other administrative tasks associated with establishing a new health care district.

32499.6. (c)(6) Holding public meetings to announce whether the district will acquire and actually has adequate funding to acquire El Centro Regional Medical Center as well as recommend what the permanent funding (i.e. tax) will be after creating the county-wide district does not make any logical sense. All these things should be done prior to forming the district.

32499.6. (d) What does an “administrative role” role actually mean? Why should the citizens of Calexico pay to fund the new district as well as its existing Heffernan Memorial Healthcare District? What happens if the rest of Imperial County votes not to pay a new tax or if the residents of PMHD and HMHD do not vote to dissolve their districts?

32499.95. (a)  Upon receipt of the recommendation from the Imperial Valley Healthcare District Board of Directors pursuant to paragraph (5) of subdivision (c) of Section 32499.6, the Imperial County Local Agency Formation Commission (LAFCO) shall determine the appropriate dates to dissolve the Heffernan Memorial Healthcare District and the Pioneers Memorial Healthcare District. The Imperial County LAFCO may decide on different dissolution dates for the Heffernan Memorial Healthcare District and the Pioneers Memorial Healthcare District. The Imperial County LAFCO shall dissolve the Heffernan Memorial Healthcare District and the Pioneers Memorial Healthcare District by January 1, 2025.

(b) The Imperial Valley Healthcare District shall be the successor to the Heffernan Memorial Healthcare District and the Pioneers Memorial Healthcare District. Effective on the respective date of their dissolution, all assets, rights, and responsibilities of the Heffernan Memorial Healthcare District and the Pioneers Memorial Healthcare District are transferred to the Imperial Valley Healthcare District. As of the effective date of the dissolution, the Imperial Valley Healthcare District shall have ownership, possession, and control of all books, records, papers, offices, equipment, supplies, moneys, funds, appropriations, licenses, permits, entitlements, agreements, contracts, claims, judgments, land, and other assets and property, real or personal, owned or leased by, connected with the administration of, or held for the benefit or use of the Heffernan Memorial Healthcare District or Pioneers Memorial Healthcare District. Accounts payable and all other contract obligations shall be transferred to the Imperial Valley Healthcare District.

32499.95. (a) The Cortese-Knox-Hertzberg Local Government Reorganization Act of 2000 requires that all LAFCO-approved dissolutions of districts are subject to a protest hearing which may result in an election of the affected voters to confirm dissolution of the district. Therefore, requiring that LAFCO “shall dissolve” of the two existing healthcare districts ignores the LAFCO process and the citizens’ right to vote.

32499.95. (b) While transferring tangible goods and ownership rights might be straightforward, other assets like contracts and licenses for the operation of a hospital—and in Pioneers’ case—additional operation of a distinct part skilled nursing facility—is much more complex and time consuming. Without appropriate planning such transfer could jeopardize the operations of Pioneers Memorial Healthcare District—which, in addition to imminent financial collapse of El Centro Regional Medical Center—would leave the County of Imperial without any hospital at all.

32499.6. (a)(3) Dos miembros de la Ciudad de El Centro y designados por la Junta de Supervisores del Condado de Imperial. Estos miembros deben ser residentes de la ciudad de El Centro, pero no un empleado de la Ciudad de El Centro, un funcionario elegido por la Ciudad de El Centro, o un empleado o miembro del comité de El Centro Regional Medical Center.

32499.6. (c)(3) La junta directiva inicial deberá recomendar un mecanismo de financiamiento permanente que sea presentado y aprobado por votantes por medio de boletas de votación. La fuente del mecanismo de financiamiento deberá depositarse en las urnas para las elecciones de Marzo del 2024 y Noviembre del 2024. La junta directiva inicial, en colaboración con Imperial County LAFCO, deberán llevar a cabo estudios financieros viables conducidos por la Ciudad de El Centro y el Imperial County LAFCO para determinar la fuente del mecanismo de financiamiento.

32499.6. (c)(4) La junta directiva inicial deberá negociar con El Centro Regional Medical Center para decidir los términos de la adquisición del hospital. Este proyecto de ley ya ha sido cambiado significativamente y enmendado 5 veces. Es imposible saber lo que este proyecto de ley realmente hará y dirá cuando llegue al escritorio del gobernador.

Inquietudes de Pioneers Memorial Healthcare District

32499.6. (a)(3) Ya que el nuevo distrito abarca todo el Condado de Imperial, cualquier residente en el condado califica para un cargo, no solo residentes de la ciudad de El Centro.

32499.6. (c)(3) Sin establecer un mecanismo de financiamiento (es decir, un impuesto) al mismo tiempo que el nuevo distrito es creado, hasta entonces los contribuyentes de Pioneers Memorial Healthcare District y Heffernan Memorial Healthcare District financiaran por completo el distrito de salud en todo el condado.

32499.6. (c)(5) De manera similar, Pioneers Memorial Healthcare District y Heffernan Memorial Healthcare District no deben disolverse hasta que los términos de adquisición de El Centro Regional Medical Center hayan finalizado. Así mismo, contratos con el nuevo distrito necesitan ser ratificados o renegociados antes de una disolución y transferir Pioneers Memorial Healthcare District para asegurar la continuidad de servicios y cuidados.

32499.6. (6) La junta directiva deberá presidir un mínimo de tres reuniones públicas entre la fecha de efectos de este capítulo y el 1 de Enero del 2025, de la siguiente manera:

(A) Durante la primera reunión pública, la junta directiva deberá informar al público del establecimiento del Imperial Valley Healthcare District, lo que conlleva el costo de tener un distrito de salud de todo el condado, y los estudios conducidos por la Ciudad de El Centro y el Imperial County LAFCO donde lo encuentren financieramente viable.
(B) Durante la segunda reunión pública, la junta directiva deberá informar al público de la fuente recomendada que estará solventando el mecanismo de financiamiento permanente para Imperial Valley Healthcare District.
(C) Durante la tercera reunión pública, la junta directiva deberá informar al público acerca de la adquisición de El Centro Regional Medical Center.

(D) Si la junta directiva vota para adquirir El Centro Regional Medical Center, la junta directiva deberá presidir una cuarta junta. Durante esta junta, la junta directiva deberá publicar los términos de la adquisición al público. Publicará y presentará un plan financiero que costeé la adquisición y actividades en curso de hospitales dentro del distrito.

32499.6. (d) Hasta que se efectúe la disolución de Heffernan Memorial Healthcare District y Pioneers Memorial Healthcare District, Heffernan Memorial Healthcare District deberá presidir un rol administrativo temporal a la junta directiva del Imperial Valley Healthcare District, que incluye:

(1) Proveer empleados administrativos.
(2) Proveer asistencia en agendar reuniones de la junta directiva y reuniones públicas.
(3) Cualquier otra labor administrativa asociada con establecer un nuevo distrito de salud.

32499.6. (c)(6) Realizar reuniones públicas para anunciar si el distrito adquirirá y de hecho tiene fondos adecuados para adquirir El Centro Regional Medical Center así como recomendar como se financiará (es decir, un impuesto) después de crear el distrito de todo el condado no tiene ningún sentido. Todo esto deberá realizarse antes de formar el distrito.

32499.6. (d) ¿Qué es lo que realmente significa “rol administrativo”? ¿Por qué los ciudadanos de Calexico deben pagar para financiar el nuevo distrito además del ya existente Heffernan Memorial Healthcare District? ¿Qué sucederá si el resto del Condado de Imperial vota para no pagar un nuevo impuesto o si los residentes de PMHD y HMHD no votan por la separación de sus distritos?

32499.95. (a) Cuando la recomendación de la Junta Directiva del Imperial Valley Healthcare District sea recibida de acuerdo al párrafo (5) de la subdivisión (c) de la Sección 32499.6, Imperial County Local Agency Formation Commission (LAFCO) deberá determinar las fechas apropiadas para la disolución de Heffernan Memorial Healthcare Distric y Pioneers Memorial Healthcare District. Imperial County LAFCO puede decidir diferentes fechas de disolución entre Heffernan Memorial

Healthcare District y Pioneers Memorial Healthcare District. Imperial County LAFCO deberá disolverse de Heffernan Memorial Healthcare District y Pioneers Memorial Healthcare District el 1 de Enero del 2025.

(b) Imperial Valley Healthcare District deberá ser el sucesor de Heffernan Memorial Healthcare District y Pioneers Memorial Healthcare District. Entrando en vigencia en la fecha respectiva de su disolución, todos los bienes, derechos, y responsabilidades de Heffernan Memorial Healthcare District y Pioneers Memorial Healthcare District serán transferidos a Imperial Valley Healthcare District. De acuerdo a la fecha de disolución, Imperial Valley Healthcare District tendrá apropiación, posesión, y control de todos los libros, registros, papeles, oficinas, equipo, material de oficina, dineros, fondos, apropiaciones, licencias, permisos, derechos, acuerdos, contratos, reclamos, juicios, propiedades, y otros bienes y propiedades, real o personal, propio o rentado por, conectado con la administración de, o retenidos para el beneficio o uso de Heffernan Memorial Healthcare District o Pioneers Memorial Healthcare District. Deudas a pagar y todas otras obligaciones deberán ser transferidas a Imperial Valley Healthcare District.

32499.95. (a) La ley de Reorganización de Gobierno Local Cortese-Knox-Hertzber de 2000 requiere que toda disolución de distritos aprobada por LAFCO estan sujetas a audiencia de protesta que puede resultar en una elección de los votantes afectados para confirmar la disolución del distrito. Así que, requerir que LAFCO “deba disolver” de los dos existentes distritos de salud ignora el proceso LAFCO y los derechos de los ciudadanos de votar.

32499.95. (b) Aunque transferir bienes tangibles y derechos de propiedad sean sencillos, otros bienes como contratos y licencias para la operación de un hospital y en el caso de Pioneers, operación específica adicional de un centro de enfermería especializada es mucho más compleja y requiere de mucho tiempo. Sin planeación apropiada, dicha transferencia puede poner en riesgo el funcionamiento de Pioneers Memorial Healthcare District, el cual, además del inminente colapso financiero de El Centro Regional Medical Center dejaría al Condado de Imperial sin ningún hospital.
